Reading Filings End-to-End
A worked thesis built from a single company's filing trail
Seven lessons of structural disclosure-reading practices have given us a toolkit. The 10-K's experienced-analyst reading order (rf1_l1) — financial statements and footnotes first, risk factors second, controls third, MD&A last. The 10-Q's quarterly-drift framework (rf1_l2) — ICFR weakness escalation patterns and sequential diff-reading.
The 8-K's Item taxonomy (rf1_l3) — Items 1.01, 2.01, 4.
01, 4.02, 5.02, 7.
01 as the high-signal subset. Form 4's transaction-code framework (rf1_l4) — Code P purchases as the high-signal category, plan-status filtering, opportunistic-insider analysis. The DEF 14A's compensation and governance disclosures (rf1_l5) — Pay vs Performance reconciliation, Item 404 related-party transactions, shareholder proposals.
Form 13F and Schedules 13D/G (rf1_l6) — institutional ownership and activist intent. The Schilit shenanigan framework (rf1_l7) — seven categories of accounting manipulation patterns combined with the Sloan 1996 accruals diagnostic. Each framework is useful on its own; integrated, they provide a comprehensive forensic-reading discipline that no single framework can match.
That is the opening. Finishing a lesson is where it stops being interesting and starts being useful: the full lesson runs to 8 sections and ends with 6 practice questions. A free account is what opens the rest, and the other 255 lessons in the Academy with it. No card.
