ALAN Echo License Agreement

Upon payment (or valid redemption of a promotional key), ALAN grants you a perpetual, non-exclusive, non-transferable license to install and use the Software on Windows devices that you personally own or control, for personal or internal business use, on up to five (5) devices at one time (see Section 2). One license per person: a single key may not be used concurrently by multiple people.

ALAN may assign or transfer this Agreement, in whole or in part — including to an affiliated entity or a successor (for example, on incorporation of the business or a sale of its assets) — and your license continues on the same terms. You may not assign, sublicense, or transfer this Agreement or your license key, except that where mandatory law gives you a non-waivable right to transfer a perpetual copy you lawfully acquired (such as the European Union exhaustion principle), you may make a one-time permanent transfer to a single recipient provided you transfer the key, permanently cease all use, and delete all copies; commercial resale or distribution remains prohibited under Section 3.

• The ALAN Echo application and the bundled speech-recognition model.
• All updates published for the 1.x version line, delivered as downloadable installers (see Section 3B).
• Activation on up to five (5) devices you own or control at one time. Reinstalls and routine hardware changes do not consume additional activations; if you reach the limit, deactivate a device or contact support to reset it.

You may not:

• Resell, rent, lease, sublicense, or distribute the Software or your license key (except the limited consumer transfer described in Section 1).
• Publish or share your license key, or use a key you did not lawfully purchase or receive from ALAN.
• Reverse engineer, decompile, or disassemble the Software, except to the extent (and only to the extent) applicable law expressly permits notwithstanding this limitation — including, where the EU Computer Programs Directive (2009/24/EC) applies, your rights under Article 5 to observe, study, and test the program and to make a back-up copy, and under Article 6 to decompile for interoperability.
• Remove or alter any proprietary notices in the Software.
• Use the Software to violate any law, or to record or transcribe audio you do not have the right to record or process (see Section 4A).

ALAN Echo includes a free trial limited by the Software (currently a fixed number of dictations per day and in total). Trial use is licensed under this Agreement and provided strictly "AS IS", with no support and no warranty. ALAN may modify, limit, or discontinue the trial at any time. Tampering with, disabling, or circumventing trial or license-enforcement mechanisms (including locally stored, cryptographically signed trial state) is a material breach of this Agreement and may violate applicable law, including 17 U.S.C. § 1201.

ALAN may make updates available but is not obligated to provide updates, maintenance, or support. Updates are licensed under this Agreement (or the revision presented with the update). Support, when offered, is best-effort via the contact in the final section.

The Software includes open-source components, including the whisper.cpp inference engine and OpenAI Whisper speech models. Each such component is governed by its own license, which controls over this Agreement for the component it covers. The complete list of components and their license texts is provided in the THIRD-PARTY NOTICES file installed with the Software and viewable in Settings → About.

The Software performs all audio recording, transcription, and storage locally on your device. It does not transmit your audio, transcripts, or dictation content to ALAN or any third party.

Activation and license validation require connecting to ALAN's activation service: when you activate, the Software sends your license key and a pseudonymous device identifier (a one-way hash derived from hardware characteristics, which ALAN treats as personal data) to obtain a signed activation token; that token then permits offline use for a limited period before the Software re-checks. Checking for updates contacts ALAN's update service, and optional speech-model downloads are fetched from their hosting provider. No audio, transcript, or dictation content is sent in any of these requests. The Software also stores license and trial state locally, including in application-data files and, on Windows, the Windows registry. You are responsible for complying with every law that applies to recording, capturing, and transcribing audio, including one-party and all-party consent laws. You must obtain any consent required before using the Software to record or transcribe other people, and you will indemnify ALAN against claims arising from your failure to do so. The Software is a transcription tool: it does not create voiceprints, does not perform speaker identification or voice biometrics, and does not retain your audio after transcription. This Agreement cannot supply, and does not purport to supply, any consent or written release that a third party's law (for example, a biometric-privacy statute) requires you to obtain.

As between you and ALAN, you own the transcripts and other output the Software produces from your audio. ALAN claims no ownership of, and acquires no license to, your audio or your transcripts.

Purchases of the Software carry a 30-day money-back guarantee as described in the Refund Policy. If a refund is issued (or a chargeback is filed), this license terminates, your key is deactivated in ALAN's records, and you must uninstall the Software. Because activation tokens permit a period of offline use, a deactivation may not take immediate effect on a device that is offline; the license nonetheless terminates as a matter of contract upon refund.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SPEECH RECOGNITION IS PROBABILISTIC: ALAN DOES NOT WARRANT THAT TRANSCRIPTIONS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU ARE RESPONSIBLE FOR REVIEWING TRANSCRIBED TEXT BEFORE RELYING ON IT.

THE SOFTWARE IS NOT DESIGNED OR LICENSED FOR USE WHERE AN INACCURATE OR INCOMPLETE TRANSCRIPTION COULD CONTRIBUTE TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL, FINANCIAL, OR ENVIRONMENTAL HARM (FOR EXAMPLE, EMERGENCY, MEDICAL, OR AUTHORITATIVE LEGAL-RECORD USES). FOR ANY SUCH USE YOU MUST INDEPENDENTLY VERIFY THE OUTPUT. The 30-day money-back guarantee in Section 5 is a return policy, not a warranty. Your statutory consumer rights are preserved by Section 7A.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALAN'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE, AND ALAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY.

NOTHING IN THIS AGREEMENT LIMITS OR EXCLUDES LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD OR FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. THESE LIMITATIONS APPLY INDEPENDENTLY OF, AND SURVIVE, ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. THE 30-DAY REFUND IN SECTION 5 IS YOUR PRIMARY REMEDY FOR DISSATISFACTION WITH THE SOFTWARE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU (SEE SECTION 7A).

Nothing in this Agreement excludes, restricts, or modifies any guarantee, warranty, right, or remedy that applicable consumer-protection law gives you and that cannot lawfully be excluded or limited. In particular:

• Consumers in the European Union and United Kingdom keep their statutory rights, including under the EU Computer Programs Directive (2009/24/EC), the EU consumer-rights and unfair-terms framework, and, for UK consumers, the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013.
• Consumers in Australia: our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For a major failure you are entitled to a replacement or refund and to compensation for any other reasonably foreseeable loss or damage.
• Consumers in Quebec and elsewhere in Canada keep their rights under applicable consumer-protection law.

Where any provision of this Agreement (including the "AS IS", warranty, liability, or governing-law provisions) would derogate from such mandatory rights, that provision applies only to the maximum extent permitted and is otherwise read down or severed so that the mandatory right prevails.

This Agreement terminates automatically if you materially breach it (including key sharing or redistribution). Upon termination you must uninstall the Software and destroy all copies. Sections 4A, 4B, 6, 7, 7A, 9, and 10 survive termination.

The Software uses standard cryptographic functions — including HMAC-SHA-256, Ed25519 digital signatures, and SHA-256 hashing — solely to validate license keys and verify activation tokens. It does not provide any capability to encrypt your files, audio, or transcripts. The Software is distributed from the United States.

You represent that you are not located in, and are not a national of or ordinarily resident in, any country or territory subject to comprehensive U.S. embargo, and that you are not a person with whom U.S. persons are prohibited from dealing (including any party on the U.S. Treasury OFAC Specially Designated Nationals list or comparable restricted-party lists). You may not use or export the Software in violation of U.S. or other applicable export-control or sanctions laws and regulations.

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association before one arbitrator seated in Dallas, Texas, except that either party may bring qualifying claims in small-claims court or seek injunctive relief for intellectual-property violations in any court of competent jurisdiction.
